- Acceptance of Terms
By accessing or using this website (the “Site“), you agree to be bound by these Terms of Use (the “Terms“). If you do not agree to these Terms, you must not access or use the Site. These Terms constitute a binding agreement between you and The United States Playing Card Company, a Delaware corporation (“USPC” or “we“).
- Description of the Site
The Site is a business-to-business platform that provides information about USPC’s  casino-related products and services. The Site allows visitors to submit requests for additional information regarding USPC’s offerings (each, an “Information Request“). Submission of an Information Request does not create any obligation on the part of USPC to respond, provide a quote, or enter into any business relationship.
- Eligibility
The Site is intended for use by businesses and their authorized representatives. By using the Site and submitting an Information Request, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the authority to bind the business entity on whose behalf you are acting; and (c) your use of the Site complies with all applicable laws and regulations.
- Information Requests
4.1 When submitting an Information Request, you agree to provide accurate, current, and complete information. You will not submit false, misleading, or fraudulent information through the Site.
4.2 Submission of an Information Request does not constitute an offer, order, or commitment by either party. Any business relationship between you and USPC will be governed by separate written agreements executed by authorized representatives of both parties.
4.3 USPC reserves the right, in its sole discretion, to decline to respond to any Information Request for any reason or no reason.
- Intellectual Property
5.1 All content on the Site, including text, graphics, logos, images, trademarks, trade names, and software (collectively, “Site Content“), is the property of USPC or its licensors and is protected by United States and international intellectual property laws.
5.2 You may not copy, reproduce, distribute, modify, display, perform, create derivative works from, or otherwise exploit any Site Content without the prior written consent of USPC, except that you may view and print pages from the Site for your own internal business purposes related to evaluating USPC’s products and services.
5.3 Bee® and all other USPC trademarks, service marks, and logos displayed on the Site are the exclusive intellectual property of USPC or its affiliates. Nothing on the Site grants any license or right to use any such mark without USPC’s prior written permission.
- User Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
- Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable;
- Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site;
- Use any automated means, including bots, scrapers, or spiders, to access the Site or collect data from it;
- Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available; or
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Privacy
Your use of the Site is subject to the Cartamundi Privacy Policy, available at https://cartamundi.com/downloads/privacy-policy-en.pdf. Any personal or business information you submit through the Site, including through an Information Request, will be handled in accordance with the Privacy Policy.
- Disclaimer of Warranties
THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, USPC DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. USPC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO INFORMATION OR CONTENT PROVIDED ON THE SITE CONSTITUTES PROFESSIONAL ADVICE OR A BINDING COMMITMENT BY USPC.
- Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL USPC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF USPC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. USPC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
- Indemnification
You agree to indemnify, defend, and hold harmless USPC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit through the Site.
- Third-Party Links
The Site may contain links to third-party websites or resources. USPC provides these links for convenience only and is not responsible for the content, products, or services available on or through any third-party websites. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.
- Modifications
USPC reserves the right to modify these Terms at any time. Any changes will be effective upon posting the revised Terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms.
- Termination
USPC, in its sole discretion, suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Sections 5, 8, 9, 10, 13, 14, and 15 will survive any termination of these Terms.
- Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Boone County, Kentucky, and you consent to the personal jurisdiction of such courts.
- General Provisions
15.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and USPC regarding your use of the Site and supersede all prior agreements and understandings on the subject matter.
15.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver. USPC’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
15.4 Assignment. You may not assign or transfer these Terms or any rights or obligations under these Terms without the prior written consent of USPC. USPC may freely assign these Terms.
